Terms of Service

DRAFT. Not legal advice. Not in force until reviewed by a lawyer and published. Last updated: [DATE TBD].

These Terms are between you and [ENTITY NAME TBD: LLC or individual] ("Loudroll", "we", "us"), address [ADDRESS TBD]. By using the Loudroll website, relay or Table Pass you agree to them. If you do not agree, do not use Loudroll.

1. What Loudroll is

Loudroll lets a host run a game night with an AI Game Master, and lets players join from a link. The Loudroll software is open source under the MIT license. These Terms cover the hosted website, relay service and paid plans we run, not your rights to the source code under its license.

2. Who can use it (18+)

You must be 18 or older. Loudroll is not directed to children and we do not knowingly collect information from anyone under 18. If we learn that someone under 18 is using Loudroll, we may remove them and delete their data. [LAWYER: confirm 18+ everywhere versus 13+ for invite-only tables.]

3. Who is responsible for what

4. The Game Master is an AI

The Game Master is an artificial-intelligence system. It can be wrong, strange, offensive or inconsistent. Table settings steer it; they do not guarantee what it writes. Do not rely on it for legal, medical, financial or safety advice. See the AI Disclosure.

5. Accounts and hosts

Players do not need an account. Hosts may need to sign in to use paid features. Keep your credentials safe; you are responsible for activity under your account. You are responsible for your own AI-provider account and any charges on it. Do not share or resell AI-provider subscription credentials through Loudroll.

6. Paid plans: Table Pass

Price. The Table Pass is $5 per month or $40 per year [ROBERT: confirm final prices; tax added where required]. Payments are processed by Stripe. We do not store your full card number.

Free trial. A new host's first 3 qualifying hosted sessions include all Table Pass features, with no card required. A session qualifies if it runs at least 30 minutes with at least 2 players besides the host. The trial is once per host. After it, the table returns to the Free plan unless you subscribe. [LAWYER: confirm that no card means no automatic conversion into a paid plan.]

Automatic renewal. If you subscribe, your plan renews automatically at the end of each billing period (monthly or yearly) at the then-current price until you cancel. Before you pay, we will show the price, the billing period, that it renews automatically, and how to cancel, and we will ask for your clear agreement at checkout. We will email you a receipt and, for yearly plans, a reminder before renewal. [LAWYER: confirm reminder timing required by California and other states' auto-renewal laws.]

Cancel anytime. Cancel online from your account's billing page [LINK TBD: Stripe customer portal], in the same way you signed up, with no need to contact us. Cancellation takes effect at the end of the current paid period; you keep Table Pass features until then. We will also honor a cancellation sent to [EMAIL TBD].

Refunds. [DECISION NEEDED. Proposed:] You may ask for a refund of your most recent charge within 14 days of any charge, including a renewal, if you have not used the paid features since the charge. Otherwise payments are non-refundable, except where the law requires it. Contact [EMAIL TBD].

Price changes. We will give at least 30 days' notice before a price change applies to your next renewal, and you may cancel before then.

Downgrade. If a Table Pass ends, your table returns to the Free plan. Campaigns are not deleted when the plan lapses; they are frozen read-only for 90 days and can be exported. Free campaigns are kept 30 days after the last session, then frozen read-only for 90 days, then deleted. [Confirm against the current pricing doc.]

7. Acceptable use

Follow the Community Rules. You may not use Loudroll to: break the law; create or share sexual content involving minors (blocked regardless of any setting); harass, threaten or dox anyone; generate hateful content; impersonate people deceptively; spam; attack, overload or probe the service; bypass limits or the trial; or break the AI provider's usage policy. We may remove content, remove players, and suspend tables or accounts, with or without notice, to protect people or the service.

8. Your content and packs

You keep ownership of what you create: your characters, text, worlds and packs ("Your Content"). You give us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit and display Your Content only to operate and improve the service for you and the people at your table (for example, relaying messages and showing the story). Players at your table may see content you share there. If you publish a pack for others, you also license it to those who use it under the terms you choose when you publish it. [LAWYER: define marketplace and pack terms if packs are shared.] You promise you have the rights to Your Content and that it does not infringe anyone else's rights. AI-generated output is covered in section 9.

9. AI-generated content

Output the Game Master writes during play ("Output") is generated automatically. As between you and us, and to the extent the law allows, we claim no ownership of Output and you may use it for your own purposes. Output may not be unique, may resemble other output, and may not be protected by copyright in some places. We make no promise that Output is accurate, lawful or non-infringing. Output may be filtered or altered by the AI provider.

10. Real people

Do not create characters or "residents" based on a real person without their consent. See the Real-person resident policy.

11. Copyright complaints

See our copyright and contact page.

12. Termination

You may stop using Loudroll at any time. We may suspend or end your access for breaking these Terms, for legal reasons, or if we end the service. If we end the service we will give reasonable notice where we can and let you export your campaigns. Sections that by their nature should survive (ownership, disclaimers, liability limits, governing law) survive.

13. Disclaimers

Loudroll is provided "as is" and "as available", without warranties of any kind, to the fullest extent the law allows. We do not promise it will be uninterrupted, error-free or secure, or that the AI will behave as configured.

14. Limit of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data. Our total liability for any claim is limited to the greater of what you paid us in the 12 months before the claim or $[AMOUNT TBD]. Some places do not allow these limits, so they may not apply to you. [LAWYER: review enforceability, especially for consumers.]

15. Disputes and governing law

These Terms are governed by the laws of the State of [Washington, TBD], without regard to conflict-of-law rules. Disputes will be brought in the courts located in [COUNTY, WA TBD], unless the law gives you the right to bring them elsewhere. [LAWYER: decide on arbitration and a class-action waiver; none is included in this draft.]

16. Changes

We may update these Terms. For material changes we will give notice (email or on the site) at least 30 days before they apply to paid plans. Continuing to use Loudroll after a change means you accept it.
